Welcome to Laper! These Terms of Service ("Terms") govern your access to and use of Laper's screenplay collaboration platform, including our website, applications, and services (collectively, the "Service").

By using Laper, you agree to these Terms. If you disagree, please do not use our Service.

1. Acceptance of Terms

1.1 Agreement to Terms

By creating an account or accessing Laper, you confirm that:

• You have read and understood these Terms
• You agree to be legally bound by these Terms
• You meet the eligibility requirements outlined below

1.2 Updates to Terms

We may modify these Terms at any time. Changes become effective:

• 30 days after posting for material changes (we'll notify you via email)
• Immediately for minor clarifications or legal compliance updates

Continued use of the Service after changes constitutes acceptance.

2. Eligibility and Account Registration

• Authorized Use: You are responsible for all activity under your account

2.3 Prohibited Users

You may not use Laper if:

• You have been previously banned from our Service
• You are located in a country subject to U.S. embargo
• Your use violates applicable laws or regulations

3. Use of the Service

3.1 License Grant

Subject to these Terms, Laper grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for personal or commercial screenplay development
• Collaborate with authorized team members
• Export your content in supported formats

3.2 Restrictions

You agree NOT to:

• Infringe IP: Upload content you don't have rights to use

• Harmful Content: Post malware, viruses, or malicious code
• Misrepresentation: Impersonate others or misrepresent affiliations

3.3 Fair Use Policy

We monitor usage to prevent abuse. Excessive API calls, storage, or bandwidth usage may result in:

• Throttling: Temporary speed limits
• Service Suspension: For severe violations
• Account Termination: For repeated abuse

4. Intellectual Property Rights

4.1 Your Content Ownership

You retain full ownership of all screenplays, characters, scenes, and creative work you create using Laper ("Your Content").

We never claim rights to your creative work.

4.2 License to Laper

To provide the Service, you grant Laper a limited, worldwide, non-exclusive, royalty-free license to:

• Store and Process: Host Your Content on our servers
• Display: Show Your Content to you and your authorized collaborators
• Transmit: Enable real-time collaboration features
• Backup: Create copies for disaster recovery

This license ends when you delete Your Content or close your account.

4.3 Laper's IP

All Service features, design, software, and branding are owned by Laper. You may not:

• Copy our interface or design elements
• Use the "Laper" name or logo without permission
• Claim ownership of our algorithms or technology

4.4 AI-Generated Content

If you use our AI writing assistance:

• You own the output: AI suggestions become your property when incorporated into Your Content
• Training Restriction: We never use Your Content to train public AI models
• No Guarantees: AI suggestions are provided "as-is" without warranties

5. Subscription and Payments

5.1 Pricing Plans

Laper offers:

• Free Tier: Limited features and storage
• Pro Subscription: Enhanced features (monthly/annual billing)
• Enterprise Plans: Custom pricing for large teams

5.2 Billing Terms

• Payment Method: Credit card or approved payment providers
• Auto-Renewal: Subscriptions renew automatically unless canceled
• Price Changes: We'll notify you 30 days before price increases
• Taxes: You're responsible for applicable sales tax or VAT

5.3 Refund Policy

• Free Trial: Cancel anytime during trial for no charge
• Monthly Plans: No refunds for partial months
• Annual Plans: Pro-rated refund if canceled within 30 days
• Enterprise: Refund terms specified in your contract

5.4 Cancellation

You may cancel your subscription at any time:

• Access Continuation: Service remains active until the end of your billing period
• Data Retention: Your Content is accessible for 30 days post-cancellation
• Reactivation: Resubscribe anytime to restore access

6. Collaboration and Sharing

6.1 Team Permissions

When you invite collaborators:

• Access Control: You determine each member's permissions (view, edit, admin)
• Responsibility: You're responsible for your team's actions
• Removal: You can revoke access at any time

6.2 Shared Content

For projects with multiple contributors:

• Joint Ownership: Contributors retain rights to their individual contributions
• License Between Users: You grant co-authors permission to use shared work within the project
• Dispute Resolution: Ownership disputes are between users (Laper is not liable)

7. Privacy and Data Protection

7.1 Data Collection

We collect and process data as described in our Privacy Policy. Key points:

• Minimal Collection: Only data necessary for service provision
• Encryption: All data transmitted via TLS 1.3
• User Control: You can export or delete your data anytime

7.2 GDPR and CCPA Compliance

If you're in the EU or California, you have additional rights:

• Deletion: Request permanent data erasure

8. Disclaimers and Limitations of Liability

• Security: No system is completely breach-proof

8.2 No Professional Advice

Laper's AI tools provide creative suggestions, not professional legal, literary, or business advice.

8.3 Limitation of Liability

To the maximum extent permitted by law, Laper's liability is limited to:

• Direct Damages Only: We're not liable for indirect, incidental, or consequential damages
• Monetary Cap: Maximum liability is the amount you paid in the last 12 months
• Excluded Losses: We're not liable for lost profits, data loss, or business interruption

8.4 Indemnification

You agree to indemnify Laper against claims arising from:

• Your violation of these Terms
• Your Content infringing third-party rights
• Your use of the Service for illegal purposes

9. Termination

9.1 Termination by You

You may close your account at any time via:

• Settings Page: Account > Delete Account
• Email Request: support@laper.ai

9.2 Termination by Laper

We may suspend or terminate your account if:

• Terms Violation: You breach these Terms
• Illegal Activity: You use the Service for unlawful purposes
• Abuse: You engage in fraud, harassment, or system abuse
• Non-Payment: Your subscription payment fails repeatedly

9.3 Effect of Termination

Upon termination:

• Access Revoked: You lose access to the Service immediately
• Data Deletion: Your Content is deleted after 30 days (unless legally required to retain)
• Survival: Sections 4 (IP), 8 (Disclaimers), and 10 (Dispute Resolution) survive termination

10. Dispute Resolution

10.1 Governing Law

Failure to enforce any right doesn't waive future enforcement.

11.4 Assignment

You may not transfer these Terms. Laper may assign these Terms without notice (e.g., during a merger).

11.5 Force Majeure

Laper is not liable for failures due to circumstances beyond our control (natural disasters, war, pandemics, etc.).
